About this Gig
No longer using your US LLC but unsure how to close it properly with the state and IRS?
Simply stopping business activity may leave annual reports, state fees, tax filings, or IRS records open. The correct closure process depends on your state, LLC status, and tax situation.
My service include:
- LLC dissolution or cancellation
- Articles/Certificate of Dissolution filing
- State closure submission
- IRS business account / EIN closure request
- Outstanding state-compliance review
- Final filing requirements review
Whether your LLC is in Wyoming, Delaware, New Mexico, Florida, Texas, or another US state, I will identify the applicable closure steps, prepare the required documents, and handle the filing process included in your package.
Government fees, taxes, penalties, and tax-return preparation are separate unless specifically included.

FAQ
Will you actually file my LLC dissolution with the state?
Yes. Where included in your package, I prepare and handle the applicable state dissolution, cancellation, or termination filing rather than providing only an unfiled document.
Can you close my EIN with the IRS?
I can handle the applicable IRS business-account closure request. Technically, the EIN itself remains permanently assigned; the IRS deactivates the EIN and closes the associated business account
Do I need to file a final tax return?
Many businesses must file a final federal tax return, depending on how the LLC is taxed and its activity. Tax-return preparation is separate unless specifically included
Can you dissolve an LLC that is inactive or delinquent?
Possibly. I will first review its state status because outstanding reports, fees, taxes, or reinstatement requirements may need to be addressed before closure.
Are state filing fees included?
No. Government filing fees, taxes, penalties, franchise-tax balances, and other agency charges are separate from my service fee.
Do you handle foreign-owned US LLCs?
Yes. I can handle the state closure and IRS-account closure process. Foreign-owned LLCs may also have final federal reporting requirements, which can be reviewed separately.
Can you guarantee when the state or IRS will close the account?
No. I control my preparation and submission time, but government processing and final approval are controlled by the relevant agency.
