Every Corporation registered in Delaware needs to file annual reports and pay annual Franchise tax to the state to operate the business in the states, this is the fee for doing business. If not done states will dissolve the corporation.

To avoid this we need to file the annual reports and also we can use this filing to update any changes happen in organization.

The minimum tax is $175.00, for corporations using the Authorized Shares method and a minimum tax of $400.00 for corporations using the Assumed Par Value Capital Method.

All Domestic and Foreign Limited Liability Companies, Limited Partnerships, and General Partnerships formed or registered in Delaware are required to pay an annual tax of $300.00
