A confidential information memorandum is the document that carries a transaction. Corporate finance advisers charge a retainer plus a percentage of the deal to produce one. Most sellers on this platform have never seen a real one.

How is this different from a business plan?
A business plan argues for a future. A CIM presents an asset for a transaction. Different structure, different reader, different disclosure standard, and a much higher bar on internal consistency because the buyer will test every number in diligence.
Will you sign an NDA?
Yes, always, and I expect to. Send it before ordering. This document type is confidential by definition and I treat it that way.
Can you work from incomplete financials?
Yes, with a clearly stated basis of preparation and a reconciliation note. What I will not do is present unverified figures as audited or fill gaps with invented numbers. That is the failure that kills transactions in diligence.
What about legal and regulatory sections?
I write the commercial document. I am not a lawyer and I do not provide legal advice. Securities law wording, offering restrictions and jurisdiction specific disclosure must be reviewed by your counsel, and I will flag where that is required.
