I will review your china supplier contract as a licensed lawyer
Chinese Lawyer for Contract Review, Commercial Disputes,Enforcement
About this Gig
Signing a China supplier contract you cannot read? One clause can hand over your IP, your deposit, or unlimited liability.
I am a licensed lawyer practising in China. I review supply, OEM, NNN and distribution contracts and return a redlined version with negotiation-ready wording.
WHAT I CHECK
1. Governing language which text controls when versions differ
2. Quality standards tight enough to actually enforce
3. Inspection and objection windows can you still claim after delivery
4. Payment structure deposit caps and balance triggers
5. Liability and penalties do they bite, or are you exposed
6. IP ownership tooling, drawings, trademark squatting risk
7. Dispute resolution court or arbitration, and enforceable where you live
8. Standard-form clauses whether one dumping risk on you is valid
WHAT YOU GET
Every risky clause marked, rated and explained
Replacement wording you can send straight back to the supplier
A short list of the three changes to insist on
I will not tell you a bad contract is fine. If the deal is dangerous, I will say so. No outcome is guaranteed you will know exactly what you are signing.

FAQ
My contract has a Chinese and an English version. Which one matters?
Usually the one the contract says governs. If it is silent, a Chinese court works from the Chinese text. I check whether a governing-language clause exists and whether both versions actually say the same thing - mismatches are far more common than buyers expect.
What types of contract do you review?
OEM and ODM manufacturing agreements, NNN agreements, purchase contracts, proforma invoices, framework supply agreements, distribution and agency agreements, and tooling or mould ownership clauses.
Can you review an OEM or NNN agreement?
Yes. NNN agreements are common in China sourcing, but whether one holds up depends on how it is drafted under PRC law. I review enforceability, not just whether the wording looks standard.
The supplier only sent a proforma invoice. Is that worth reviewing?
Often yes. A proforma invoice or purchase order can form a binding contract once accepted. I will tell you which terms are missing and what to add before you pay anything.
Can you negotiate with the supplier for me?
This gig covers review and drafting. Direct negotiation with the supplier in Chinese is available as an add-on, or included in the premium package.

He was excellent , because not like others didn't try to show that the work is done. He continuously was trying to settle the case and never even told about "pay more for me to pick the phone and call to settle". We decided to go with him further.
