US and UK Company Formation, Taxation, Ecommerce Expert
About this Gig
1,000+ companies formed, all 50 states. Texas done right.
WHAT I DO
- Form 205 Certificate of Formation, Texas Secretary of State
- Registered agent appointed, consent on file
- Company Agreement (Texas calls it that, not an Operating Agreement)
- EIN from the IRS
- Texas Taxpayer Number and Webfile access
- Series LLC if you hold multiple properties
WHAT YOU PAY SEPARATELY
- $300 Texas Secretary of State filing fee
- Registered agent annual fee. Texas requires an agent with a Texas street address, so it is not optional.
Both confirmed in writing before you order.
THE FILING NOBODY WARNS YOU ABOUT
Your Public Information Report is due May 15 yearly, even at zero revenue. Texas killed the No Tax Due Report in 2024, so anyone selling Form 05-163 is selling a form that no longer exists. Miss it and Texas can forfeit your right to do business and hold officers liable.
IS TEXAS RIGHT FOR YOU?
Yes if you have Texas nexus: operations, property, inventory, or staff. No state income tax.
No if you want privacy. The PIR is public record. Wyoming or New Mexico is better, and I say so.

FAQ
What are the total costs? What is not included in your price?
My fee covers the work. Two costs are separate: the $300 Texas Secretary of State filing fee, and your registered agent's annual fee ($35), which Texas law requires every LLC to have. I confirm both exact figures in writing before you order, so you know the full number first.
Why is the registered agent fee not included?
Because I would rather show you a real price than a low one that grows later. Agent rates vary by provider and prepaid term. I appoint the agent and you pay them directly at their published rate. Already have a Texas agent? Tell me and we use yours.
Can I form a Texas LLC if I am not a US citizen or resident?
Yes. Texas does not require members or managers to be US citizens or residents. No visa, no SSN, no travel needed. You do need a registered agent with a physical Texas street address, which I arrange as part of the filing.
Does a Texas LLC keep my name private?
No. The Public Information Report filed yearly with the Comptroller is public record and lists your governing persons. If privacy is your main goal, Wyoming or New Mexico serves you better. Message me and I will tell you honestly which fits.
What do I owe Texas every year?
No state income tax and no SOS annual report. You do owe a franchise tax report to the Comptroller by May 15. For 2026 the no tax due threshold is $2.65 million, so most small businesses owe $0 tax but must still file the Public Information Report. Late costs $50.
What is a Series LLC and do I need one?
It creates protected series inside one entity, so each property or brand is walled off from the others. Popular with Texas real estate investors holding several properties. One business? You do not need it. Four rentals? Worth a conversation. Ask me before buying it.
What do you need from me to get started?
Three preferred company names, a passport or ID scan for each member, full name and address for every member and manager, your business activity in one sentence, and whether you have any Texas presence. The full list appears in the order requirements.
