FAQ
Is the dissolution complete once the state accepts my filing?
Not quite. The state filing ends your legal existence, but the IRS account, final tax return and any payroll or state tax accounts stay open until they’re closed separately. That’s why my packages cover all three.
Do you really close my EIN?
The IRS never cancels an EIN number. It closes the business account tied to it. I prepare and submit the closure request, and the IRS confirms by letter. The IRS usually requires the final return to be filed first, so I handle that order for you.
Which states do you work with?
I handle dissolutions in any US state, including Wyoming, Delaware, Florida, New Mexico, Texas and California. Each state has its own forms and fees, so message me your state before ordering and I’ll confirm the exact steps.
Do I need to pay any back taxes or fees first?
Often yes. Delaware requires franchise taxes to be paid up before dissolution, and many states want annual reports and fees current. I review your status first and tell you exactly what’s owed, so there are no surprises.
I’m a non-US owner of a US LLC. Can you still help?
Yes. This is one of my specialties. For foreign-owned single-member LLCs, I prepare the final Form 5472 and pro forma 1120, which the IRS requires with penalties of $25,000 if missed. This is included in the Premium package.
Are state filing fees included in the price?
No. State fees are paid directly to the state and vary from about $0 to over $100. My price covers the preparation, filing and CPA review. I’ll tell you the exact fee before filing so you can approve it.
